End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you (“you” or “User”) and Krystal Le CPA Co LLC, d/b/a LeCPA (“LeCPA,” “we,” “us,” or “our”), governing your access to and use of www.lecpa.co and any related calculators, reports, templates, downloads, and content provided through the website (collectively, the “Platform”).
By accessing or using the Platform, you agree to be bound by this EULA. If you do not agree, do not use the Platform.
License Grant
Subject to your compliance with this EULA, LeCPA grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business use.
License Restrictions
You may not:
- Copy, reproduce, distribute, republish, or resell Platform content except for your own permitted internal use.
- Modify, adapt, translate, reverse engineer, decompile, or create derivative works from the Platform, except as permitted by law.
- Remove, obscure, or alter copyright, trademark, or proprietary notices.
- Use bots, scrapers, or automated tools to extract data from the Platform without written permission.
- Use the Platform for unlawful, infringing, fraudulent, or harmful activity.
Professional Advice Disclaimer
The Platform is provided for general informational and educational purposes only. Content, calculator outputs, and downloadable reports are estimates and do not constitute legal, tax, accounting, or financial advice.
Your use of the Platform does not create a CPA-client relationship with LeCPA. A professional relationship exists only after a signed engagement agreement.
Intellectual Property
The Platform and all related content, including software, text, graphics, design, and branding, are owned by LeCPA or its licensors and are protected by intellectual property laws. All rights not expressly granted in this EULA are reserved.
Third-Party Services
The Platform may integrate with third-party services (such as scheduling, analytics, or form providers). Your use of third-party services is governed by their terms and policies, not this EULA.
Privacy
Your use of the Platform is also subject to our Privacy Policy.
Disclaimer of Warranties
The Platform is provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation.
Limitation of Liability
To the maximum extent permitted by law, LeCPA and its owners, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to your use of the Platform.
To the extent liability cannot be excluded, LeCPA's total liability for all claims related to the Platform will not exceed one hundred U.S. dollars (USD $100).
Indemnification
You agree to defend, indemnify, and hold harmless LeCPA and its affiliates from and against claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your violation of this EULA, or your violation of applicable law or third-party rights.
Termination
We may suspend or terminate your access to the Platform at any time, with or without notice, if we believe you violated this EULA or applicable law. Upon termination, your license to use the Platform immediately ends.
Governing Law
This EULA is governed by the laws of the State of Texas, without regard to conflict of law principles. You agree that any dispute related to this EULA or the Platform will be resolved in the state or federal courts located in Dallas County, Texas, and you consent to personal jurisdiction in those courts.
Changes to This EULA
We may update this EULA from time to time. Any updates will be posted on this page with a revised “Last updated” date. Your continued use of the Platform after an update constitutes acceptance of the revised EULA.
